The quick serve or fast food industry is a multi-billion dollar generator of income, cash flow and more importantly opportunity for all of the people. Not just the people who had enough money to go to college and get “real jobs” that people love hearing about. The average person does not understand the fast food effect on the economy, but even some white-collar people got their start there. Of course they will never admit to it at a golf outing or in public. It is their scarlet letter of shame shaped like two arches on their chest.

You don’t even think about how much your quality of life would suffer without these places and the awesome people who work there.

Imagine you pull into a quick serve drive thru with your 2.5 kids who get raised by your nanny. You’re in your $95,000 SUV that a “dirty immigrant” cleans for you daily and you find out that McTaco is closed. First your tennis lesson with Andre ran over and now you can’t even put dinner on the table. What will your husband think when he gets back from playing two rounds at Augusta? What will the Smiths down the street think when they hear about this at the country club? Outside of chipping a nail, can it get any worse for you?

Flash-forward to reality- the quick serve industry is and always will be more important than you Mr. and Mrs. spoiled and arrogant aristocrat. It makes money because of people like you, who want a playground to leave the kids at and not have to worry about making a meal. These places exist because you demand them, but you will not acknowledge your addiction to them. Worse yet is the disdain you show for their employees.

The fast food industry provides a great place for many people of all ages, colors, and religious background to learn how to become better and more successful people. These people are never given any credit by anyone. When was the last time you said thank you at a drive thru or a counter? But what would you do if they all closed down right now? Your world would be in chaos! You might actually have to learn how to cook something for the first time in your life.

The bottom line is that the industry is becoming more service focused on you, while still providing a meal in 2.75 minutes. And yet you still don’t appreciate the people who make it happen. Here you have people who bust their ass for 8 to 10 hours straight, so you can provide for your spoiled kids and you treat them worse than a stray dog with fleas.

The next time you pull up to a fast food place, get out of your house on wheels and go in and thank all of the hard working people that make your life easier. Maybe then you can write your meal off as an act of charity on next year’s tax return…or at least that’s what you’ll tell everyone at the club!

This new rule will require the Summary Compensation Table (SCT) to include equity awards based on the FAS123R value for the fiscal year, rather than the full grant date fair value as was the case in the original new rules.

January 3, 2007 -- So, it appears that the “New” SEC rules are now the “Old” SEC rule. On December 22nd the SEC decided to adopt some new rules that amend the recent changes. This new rule will require the Summary Compensation Table (SCT) to include equity awards based on the FAS123R value for the fiscal year, rather than the full grant date fair value as was the case in the original new rules. Some opponents of the change like Barney Frank (D. Mass) believe that this will diminish the size of the compensation reported, but for many of us, we believe that this actually lines up the compensation with what is actually earned in a fiscal year. Under the previous “new” rules, the aggregate full value of the grants may have significantly overstated the value of the equity compensation.

The Key Changes are as follows:

*Summary Compensation Table (SCT) –this will now be the grant date fair value (less forfeitures) and will be recognized ratably over the vesting period, as per FAS123R. The “old” way was to compute the aggregate grant date fair value.

*Grant of Plan Based Awards Table (GPBAT) – a new column (i) will be added to report the grant date fair value of the each individual equity award. This will also show the fair value of any repriced or materially modified options during the year.

*These changes will also be reflected in the Director Compensation Table (DCT) as well.

*Also, cash compensation that is foregone in return for stock or option awards will be reported in the appropriate salary or bonus column on the SCT.

What it means:

*Investors will have a more accurate picture of the compensation earned by an executive or director in a particular fiscal year;
*Mega Grants will be disclosed and counted over the service period;
*Performance Based Options/Grants will only be disclosed in the SCT if it is probable that the performance condition will be achieved;
*Executives approaching retirement will have higher compensation due to accelerated vesting, and may appear as an NEO under the revised rule;
*Terminated Officers may not show up as NEO’s as a result of forfeitures;
*SCT will now be more closely aligned with FAS123R;
*Need to reevaluate your disclosure if you have already worked up a sample.

File for unemployment compensation. The sooner you can accept the situation you are in the sooner you can move on. Maintain a sense of humor. If you can show that you can produce results that your employer is looking for you will be a desirable candidate for a position.

2 - Don't be prepared to deal with Pressure!

If you are financially sound then you probably don't need a job right away.

While you are employed don't live beyond your spending means. When you get a raise and you automatically step up you regular spending you haven't gained financially at all. Credit cards can be the source of all financial woes but, they are a good laon alternative when you can't get a credit line because you are not employed.
3 - Don't be prepared before you start looking for employment!

Learn to understand the language and mindset of others and speak their language when applicable when talking about effective ways to land your desired job. There is no guaranteed which approach is the best for any one job seeker but, it will be highly effective when seeking a full time job. Don't procrastinate, every tomorrow is a chance lost. You need to be pro-active. You are selling yourself to your employer. Think positive and prepare the things you need to say to your employer.
4 - Don't forget your options!

It may take a while to find the job you really want. Consider a part time job/freelance, working on a trial basis, or a job set up by an agency while you continue your job search. Consider broadening the scope of your employment search. You can apply for different positions than you have experience in. You can travel further than you originally wanted to. It might be beneficial if you consider a different job or lodging location if you haven't exactly thought about it.
5 - Don't fail to sharpen your job search skills!

Once you managed to gathered the proper tools required, you will need to conduct market and job research, prepare email, phone or face to face correspondence and have resumes that are tailored to specific job positions and requirements. Good telephone etiquette and proper procedure on the telephone interviews and face to face ones are the most essential.

-Bother friends and family
-Approach strangers on the street
-Do any of the other non-simple stuff that none of us really want to do

In my honest opinion, none of this stuff is simple, easily duplicated, or automated.
